Terms of Service
These Terms govern your use of Entropy and set the ground rules for sharing music, ideas, and community space responsibly.
Effective date: [DATE APPROVED FOR PUBLICATION]
1. Agreement to these Terms
These Terms of Service ("Terms") are an agreement between you and Entropy Media Inc. ("Entropy," "we," "us," or "our") governing the Entropy iOS application, entropy-music.com, and related services that link to these Terms (the "Service"). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
2. Who may use Entropy
You must be at least [MINIMUM AGE] and legally able to enter into this agreement. If the law where you live requires parental or guardian consent for you to use an online service, you may use Entropy only with that consent. You may not use the Service if we previously suspended or terminated your account for violating these Terms, unless we give written permission. You may not use the Service if you are prohibited from receiving it under applicable law, including economic-sanctions and export-control laws.
If you use Entropy for an organization, you represent that you have authority to bind it, and "you" includes that organization.
3. Your account
You must provide accurate information, keep it current, safeguard your account and devices, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account to the extent permitted by law. You may not sell, transfer, rent, or share access to your account; impersonate another person; or create accounts through unauthorized automated means.
4. Permission to use the Service
Subject to these Terms, Entropy grants you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the app and access the Service for its intended purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, probe, bypass access controls, or attempt to derive source code from the Service except where applicable law expressly permits it. You may not use bots or other automation without our written permission.
5. Your content
You keep ownership. You retain the rights you have in posts, text, images, videos, audio, comments, polls, profile material, and other content you submit to Entropy ("Your Content"). You are responsible for Your Content and must have all rights and permissions necessary to share it.
Licence to operate Entropy. When you submit Your Content, you grant Entropy a worldwide, non-exclusive, royalty-free, transferable licence—sublicensable only to our service providers, and to other users solely as enabled by the Service's features and your audience settings—to host, store, reproduce, modify solely for technical formatting or accessibility, distribute, publicly display, publicly perform, communicate, and otherwise use Your Content as needed to operate, provide, secure, improve, and promote the Service. This licence is subject to your account and audience settings; content you share with a limited audience will not be shown more broadly by this licence.
We will not use Your Content in advertising or marketing outside the Service, and we will not use Your Content to train generative artificial-intelligence models, in each case without your separate, express consent.
The licence ends when Your Content is deleted from our systems, except to the extent: (a) others have shared or incorporated it through Service features and have not deleted it; (b) it remains temporarily in backups; or (c) we must retain it for legal, safety, fraud-prevention, or enforcement reasons. [COUNSEL: CONFIRM THE MARKETING AND AI-TRAINING COMMITMENTS ABOVE MATCH PRODUCT AND BUSINESS PLANS BEFORE PUBLICATION.]
Feedback. If you voluntarily send ideas or feedback, we may use them without restriction or compensation, but we are not required to do so.
6. Music and third-party services
Entropy helps people discuss and discover music, but does not grant you rights to upload or distribute copyrighted music, artwork, video, lyrics, or other material. Music catalogue data, artwork, previews, playback, and library features may be supplied by Apple Music, MusicKit, artists, labels, publishers, or other third parties and remain subject to their terms and rights.
You are responsible for your relationship with Apple and for any Apple Music subscription required for a feature. Third-party links and services are not controlled or endorsed by Entropy, and their availability and terms may change. Entropy is not responsible for third-party content or services except where applicable law says otherwise.
7. Community rules
You must follow our Community Guidelines, which form part of these Terms. In particular, you may not:
- break the law or infringe intellectual-property, privacy, publicity, or other rights;
- harass, threaten, exploit, abuse, stalk, dox, or encourage harm;
- post child sexual abuse material, non-consensual intimate material, or content that facilitates sexual exploitation;
- promote hateful conduct, terrorism, violent extremism, or credible violence;
- impersonate others, mislead people about affiliation, or manipulate engagement;
- send spam, malware, scams, or unauthorized commercial messages;
- collect other users’ information without a lawful basis or consent;
- interfere with, overload, test, or circumvent the Service or its safety and security features; or
- use the Service to build a competing database or service without our written permission.
8. Moderation and enforcement
We may review reports and use automated or human systems to detect potential violations. We may reduce distribution, add warnings, remove content, restrict features, suspend or terminate accounts, preserve evidence, or notify authorities when reasonably necessary to protect the Service, users, or public. We consider context, severity, risk, intent, and violation history, but we are not obligated to host any content.
Where available, you may appeal an enforcement decision using the notice or support route we provide. We may act immediately without prior notice in urgent, repeat, or serious cases. Our moderation does not make us responsible for user content, and no moderation system can identify every violation.
9. Intellectual-property complaints
If you believe content on Entropy infringes your copyright or other intellectual-property rights, send a notice to copyright@entropy-music.com containing: your contact information; identification of the protected work; the location of the material; a good-faith statement that the use is unauthorized; a statement that the notice is accurate and that you are authorized to act; and your physical or electronic signature. We may forward your notice to the affected user.
We may remove infringing material and terminate repeat infringers where appropriate. If your content is removed following a notice and you believe the removal was mistaken, you may respond through the route we identify in the removal notice. Knowingly misrepresenting that material is infringing—or that it was removed by mistake—may expose you to liability under applicable law, including section 512(f) of the US Digital Millennium Copyright Act. [COUNSEL: ADD DMCA DESIGNATED-AGENT DETAILS AND COUNTER-NOTICE PROCEDURE IF US LAUNCH/SAFE-HARBOUR STRATEGY REQUIRES IT, PLUS CANADIAN NOTICE-AND-NOTICE PROCESS.]
10. Privacy
Our Privacy Policy explains how we collect, use, and disclose personal information. Please use privacy and safety controls carefully: content shared publicly can be copied, reshared, or preserved by others beyond Entropy’s control.
11. Changes to the Service or Terms
We may add, change, suspend, or discontinue features. Where reasonably possible, we will give notice before discontinuing a material feature. We may update these Terms to reflect changes to the Service, law, or risk. We will post the revised Terms and update the effective date; if changes materially affect your rights, we will provide additional notice as required by law. Continued use after the new Terms take effect constitutes acceptance where permitted by law. If you do not agree, you must stop using the Service and may delete your account.
12. Ending your use
You may stop using Entropy at any time and may request account deletion as described at Delete your account. We may suspend or terminate access if you materially or repeatedly violate these Terms, create risk or legal exposure, or if required by law. Where appropriate and legally required, we will explain the reason and provide an appeal route.
Sections that by their nature should survive termination—including ownership, licences for retained content, disclaimers, liability limits, indemnity, disputes, and general provisions—will survive.
13. Service availability and disclaimers
We aim to provide a reliable Service, but Entropy may be unavailable, interrupted, insecure, delayed, or contain errors. Music and user content may be inaccurate, unavailable, or removed. To the fullest extent permitted by law, the Service is provided “as is” and “as available,” and we disclaim implied warranties including merchantability, fitness for a particular purpose, title, and non-infringement.
Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot lawfully be excluded. [COUNSEL: ADD MARKET-SPECIFIC CONSUMER LANGUAGE FOR CANADA, EEA/UK, AUSTRALIA, AND OTHER LAUNCH REGIONS.]
14. Limitation of liability
To the fullest extent permitted by law, Entropy Media Inc. and its directors, officers, employees, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or opportunities, arising from or related to the Service or these Terms.
To the fullest extent permitted by law, our total liability for all claims relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid Entropy in the 12 months before the event giving rise to the claim; or (b) [CAD $100 / COUNSEL TO SET]. These limits do not apply where prohibited, including liability that cannot be limited for fraud, wilful misconduct, gross negligence, death or personal injury, or mandatory consumer rights.
15. Indemnity
To the extent permitted by law, if you use the Service on behalf of a business or organization, that organization will defend, indemnify, and hold harmless Entropy and its personnel from third-party claims, liabilities, damages, losses, and reasonable legal fees arising from its content, its misuse of the Service, or its violation of these Terms or another person’s rights. [COUNSEL: DECIDE WHETHER AND HOW AN INDEMNITY SHOULD APPLY TO INDIVIDUAL CONSUMERS.]
16. Governing law and disputes
These Terms are governed by the laws of [BRITISH COLUMBIA, CANADA], without regard to conflict-of-law rules. Courts located in [VANCOUVER, BRITISH COLUMBIA] will have exclusive jurisdiction, except that mandatory consumer law may allow you to bring a claim where you live. [COUNSEL: DECIDE WHETHER TO USE COURTS, ARBITRATION, CLASS-ACTION WAIVER, INFORMAL DISPUTE PROCESS, AND EEA/UK CONSUMER CARVE-OUTS. DO NOT ADD ARBITRATION BY DEFAULT.]
17. Apple terms
If you downloaded Entropy from Apple’s App Store, you acknowledge that these Terms are between you and Entropy, not Apple; Apple has no obligation to provide maintenance or support; Apple is not responsible for claims relating to the app except as required by law; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your use must also comply with applicable App Store terms.
18. General
These Terms, the Community Guidelines, and documents expressly incorporated here are the entire agreement about the Service. If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the rest remains effective. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, reorganization, or sale of assets, subject to applicable law.
